TERMS AND CONDITIONS OF USE

1. Acceptance of these Terms

1.1 These Terms and Conditions of Use (“Terms”) govern your access to and use of the Shipease website and prepaid card membership service (the “Service”) operated by APH Services LLC, 16192 Coastal Highway, Lewes, Delaware 19958, USA (“Shipease”, “we”, “us”, “our”).

1.2 By starting a free trial, submitting the card request form, or paying for a subscription, you confirm that you are at least 18 years old, have read these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

1.3 These Terms incorporate by reference our Privacy Policy, Subscription Terms, Cookie Policy, and Money-Back Policy. If there is any conflict, the order of precedence is: (i) Subscription Terms, (ii) Money-Back Policy, (iii) Privacy Policy, (iv) these Terms.

3. Regulatory Status & Safeguarding

3.1 The Card is issued by Park Card Services Ltd (FRN 900016), authorised by the UK Financial Conduct Authority under the Electronic Money Regulations 2011. Shipease acts as an authorised distributor.

3.2 Funds loaded to the Card are safeguarded as e-money but are not covered by the Financial Services Compensation Scheme (FSCS).

3.3 The Card is closed-loop: funds can only be spent with approved UK merchants and cannot be redeemed to a bank account unless legally required.

4. Ordering & Activation

Step 1 – Start your 7-day free trial on Shipease.com.
Step 2 – Submit your card request form during the trial.
Step 3 – Once your trial converts to a paid subscription, and identity checks are complete (if required), your card will be created and delivered digitally within five (5) UK business days.

Failure to complete the request form prevents card issuance.

5. Subscription, Fees & Free Trial

Your free trial begins at sign-up. Unless cancelled, subscription charges start on Day 8.
Disclosure example: £0 today → £9.99 every 14 days (Basic) or £19.99 every 14 days (Plus).
Subscriptions renew automatically every 14 days unless cancelled. Charges are non-refundable except as stated in the Money-Back Policy.

6. Deposits & Usage

6.1  Deposits can be made via your member dashboard. Funds appear instantly and are usable at participating stores.

6.2 The Card does not support cash withdrawals, gambling, cryptocurrency, or international use (GBP only).

6.3 Treat Card details securely. If compromised, contact us immediately.

7. AI Assistant & Personal Use

7.1 Shipease includes an AI-powered shopping assistant that helps you:

• Compare products and prices,
• Track orders and returns,
• Discover deals,
Suggest purchases.

7.2 Usage is limited according to your plan (e.g. 30 requests/month Basic, 10,000 requests/month Plus). Excessive or abusive usage may result in suspension.

7.3 Privacy: Queries may be logged for monitoring and fraud-prevention purposes but are not used to train underlying models. Logs are retained only as necessary.

7.4 The assistant does not provide legal, financial, or medical advice.

8. Refund Assistance

8.1 As part of some subscription plans, Shipease offers Refund & Return Assistance. This service is performed by human support agents, not automated AI.

8.2 Members may submit a claim by completing the Refund Assistance form available in their account area. Required details may include the order number, merchant name, receipts, and description of the issue.

8.3 Shipease's human agents will:
• Draft claim emails on your behalf,
• Contact merchants directly,
• Follow up until the claim is resolved or closed,
Keep you informed of progress.

8.4 Refund Assistance is a support and mediation service. Shipease cannot guarantee that a merchant will approve a refund, but we commit to actively managing the process.

8.5 Abuse of this feature (e.g. false claims, excessive volume beyond fair usage) may result in suspension or termination of access.

9. Limited-Time Welcome Refund

9.1 Promotional Welcome Refunds may apply to the first paid charge if explicitly advertised.

9.2 Eligibility requires trial completion and first payment.

9.3 Requests must be submitted within 14 days of the first charge.

9.4 Refunds will be processed within 7 business days to the original payment method.

9.5 Limit: one per household. Abuse or duplicate accounts void eligibility.

10. Your Responsibilities

You must:
• Provide accurate information,
• Complete KYC checks if requested,
• Use the Service only for lawful, personal purposes,
• Not misuse, resell, scrape, or reverse-engineer the Service.

11. Cancellation & Automatic Renewal

11.1 Subscriptions renew every 14 days. Cancel any time via your dashboard (one-click cancel) or by emailing help@shipease.com.
11.2 Cancellation takes effect at the end of your current billing cycle.
11.3 Free trials convert automatically unless cancelled.
11.4 Refund eligibility is governed by the Money-Back Policy.

12. Programme Changes

We may update merchants, features, subscription plans, or Terms.
Material changes: 30 days’ notice by email.
Minor/regulatory changes Effective upon publication.

13. End of Membership & Balance Use

If your membership ends, we will provide a lawful method to access any remaining balance where required. Balances cannot be withdrawn to a bank account.

14. Warranties & Disclaimers

The Service and Card are provided "as is". Merchant availability, AI performance, refund outcomes, or offers may change.

15. Limitation of Liability

Our liability is capped at the greater of: (i) fees paid in the last 12 months, or (ii) £100.
We exclude liability for indirect or consequential losses except where prohibited by law.

16. Indemnity

You agree to indemnify us against claims arising from your misuse of the Service, breach of Terms, or fraud.

17. Governing Law & Dispute Resolution

These Terms are governed by English law.
• UK/EU consumers may bring claims before their local courts under applicable consumer law.
• US disputes: binding arbitration under NAM Comprehensive Rules (opt-out within 30 days).
Class actions are waived.

These Terms & Conditions (“Terms”) form part of the agreement between you and Shipease and, together with the documents incorporated by reference (the “Agreement”), govern your access to and use of shipease.com and related sites/apps (the “Site”), as well as your participation in the Shipease membership program (the “Program”). Incorporated policies: our Subscription Terms, Privacy Policy, Cookie Policy, Money-Back Policy, and any claim rules we publish on the Site (collectively, the “Policies”).

1) What Shipease Is (and Isn’t)

Shipease is a membership-based assistance service. We (a) process shipping-fee refund claims up to the limits below and (b) provide claims-assistance when an order is lost, stolen after delivery, or arrives damaged.

Shipease is not an insurer, carrier, bank, or merchant, does not underwrite risk, and does not provide insurance. Outcomes of claims-assistance depend on the merchant, carrier, and/or your bank/card issuer.

We may update the Agreement; the “Last updated” date reflects the current version. Material changes will be posted to the Site and/or emailed to active members. 4) Account, Security & Accurate Information

Provide true, accurate, and complete information (including your legal name, email, and phone). Keep credentials secure; you’re responsible for activity on your account. Notify us of unauthorized use immediately.

Shipease may decline, limit, or close claims that violate these Terms or our fair-use expectations. Common exclusions include:

7) Authorization to Act on Your Behalf (Merchants/Carriers/Banks)

You authorize Shipease to communicate with merchants, carriers, and payment processors/banks about your order(s), share documentation you provide, and submit/track claims or disputes on your behalf.

Membership payments are handled by third-party processors. We store only payment tokens and card last-4 where necessary; full card numbers are not stored by us. See our Privacy Policy.

10) How to File Claims

Shipping-fee refunds: submit through your dashboard with the required proof within 30 days of purchase.

Delivery issues: report promptly (ideally within 10 days of delivery or expected delivery) and upload requested documents (proof of order, tracking, photos of damage/packaging, porch-theft affidavit or police report if requested).

We may close a claim if (a) you don’t respond within reasonable timeframes, (b) documents are missing or altered, or (c) we suspect fraud/abuse.

11) Suspicious Activity; Suspension/Termination

We may suspend or terminate access, limit benefits, or reverse credits for fraud, abuse, misrepresentation, automated/bot submissions, or violations of this Agreement. We may also refuse the Program to anyone to protect members and our service.

12) Site Use; IP; Prohibited Conduct

The Site and all content are owned by Shipease or its licensors. You receive a limited, revocable, non-exclusive license to use the Site for lawful, personal purposes. Don’t: copy/scrape; reverse engineer; introduce malware; circumvent security; or infringe rights.

13) Third-Party Links & Services

We’re not responsible for third-party sites/services. Your use of them is at your own risk and subject to their terms.

14) Disclaimers

THE SITE, PROGRAM, AND BENEFITS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHIPEASE IS NOT AN INSURER AND DOES NOT PROVIDE INSURANCE. WE ARE NOT A CARRIER OR A MERCHANT AND WE DO NOT GUARANTEE OUTCOMES WITH MERCHANTS/CARRIERS/BANKS.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPEASE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR PROGRAM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE MEMBERSHIP FEES YOU PAID TO SHIPEASE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16) Dispute Resolution; Arbitration; Class-Action Waiver

Before filing a claim, email legal@shipease.com so we can try to resolve informally within 30 days. If unresolved, any dispute between you and us relating to this Agreement or the Program will be resolved by binding arbitration under the AAA Consumer Rules. Venue: Salt Lake County, Utah (or by video/teleconference). No class actions or representative proceedings.

30-day opt-out: Send an email to legal@shipease.com with subject “Arbitration Opt-Out,” your full name, and the email tied to your account within 30 days of first accepting these Terms. Small-claims court remains available.

17) Governing Law

Utah law (without conflict-of-laws rules) governs, except that the Federal Arbitration Act governs Section 16.

18) Communications; E-Sign; Marketing

You consent to receive electronic communications and to sign electronically. We may send transactional emails/SMS about your account/claims. Marketing emails can be unsubscribed; SMS marketing requires express consent and can be opted out by replying STOP. Message/data rates may apply.

19) Privacy; Cookies

See our Privacy Policy and Cookie Policy for how we collect, use, share, and retain information, and for your US-state privacy rights and choices (including “Do Not Sell or Share” where applicable).

20) Changes; Availability

We may modify or discontinue any aspect of the Site or Program. If we materially reduce benefits or increase pricing, we’ll provide notice where required; you can cancel before changes take effect.
